LAST WILL AND TESTAMENT



I, GRACE HOOD LATTIMORE, of Catawba County, North Carolina, being of sound and disposing mind and memory, do make, publish, and declare this to be my LAST WILL AND TESTAMENT and I hereby revoke all will and codicils heretofore made by me.

ARTICLE I.



I direct that all my just debts, including North Carolina Inheritance Tax and United States Estate Tax arising from the administration of my estate be paid from the assets of my estate.

ARTICLE II.



The following bequests shall be paid from such cash, checking accounts, savings accounts, and certificates of deposits as I may have at the time of my death. If there are not sufficient funds to pay all of the following bequests, I direct that the available funds be prorated among the beneficiaries so that each will receive the same percentage of the available funds as they would have received of the bequests totaling $140,000 listed below, if sufficient funds were available in cash, checking accounts, savings accounts, and certificates of deposits:

a. $100,000 to MARIAM HOOD.
b. $8,000 to the FIRST PRESBYTERIAN CHURCH, Matthews, N.C.
c. $8,000 to the UNITED CHURCH OF CHRIST, MAIDEN, N.C.
d. $8,000 to BOB IKARD.
e. $8,000 to MARVIN WILFONG.
f. $8,000 to GEORGE MCCLELLAND.



ARTICLE III.


I give, bequeath, and devise real property which I may own at the time of my death as follows:


a. The house and lot where I presently reside in Maiden, North Carolina, to the TOWN OF MAIDEN in fee simple forever. It is my desire that my house and lot be used as a place for the residents of Maiden to meet for cultural and historical events and for social gatherings.

b. All other real estate which I may own at the time of my death, wherever situated, I give, devise, and bequeath to WILLIAM G. BOYD in fee simple.

ARTICLE IV.


I will and bequeath any shares of capital stock of First Union National Bank which I may own at the time of my death to MARIAM HOOD. Any other shares of stock of whatsoever nature which I may own I will and bequeath to WILLIAM G. BOYD.

ARTICLE V.


I bequeath all of my household furnishings and personal effects to MARIAM HOOD, except for the following items which I bequeath as follows:

a. A chest of drawers in my bedroom is left to LOUISE CORRELL.
b. My large bed, which belonged to Mrs. J.L. Lattimore, is left to MARIANN BOYD GORE.
c. The silver butter dish, which belonged to Mrs. J.L. Lattimore, is left to MARY LOVE BOYD HORNBAKER.
d. The 10-sided corner table, which belonged to Mrs. J.L. Lattimore, is left to WILLIAM G. BOYD.
e. Any items of household furnishings marked 'BOYD' are left to the HEIRS OF DAN M. BOYD, JR.
f. Any automobile I may own at the time of my death is left to MARVIN WILFONG.

ARTICLE VI.


All of the rest, residue, and remainder of real property which I may own at the time of my death, wherever situated, including any devise herein made which may lapse or be invalid or for any reason fail to take effect and including any property over which I shall have any power of appointment or disposal which I shall not have otherwise exercised or released, I give, devise, and bequeath to WILLIAM G. BOYD AND HIS HEIRS in fee simple forever.

ARTICLE VII.


All of the rest, residue, and remainder of personal property of my estate of whatsoever kind and wheresoever situated, including any legacy herein made which may lapse or be invalid or for any reason fail to take effect, I give devise, and bequeath to WILLIAM G. BOYD. Should WILLIAM G. BOYD predecease me, than in that event all of my remaining personal property I give and bequeath unto the heirs of WILLIAM G. BOYD, in shares of equal value, in fee simple forever.

ARTICLE VIII.


I nominate and appoint WILLIAM G. BOYD as executor of this my LAST WILL AND TESTAMENT, to serve without bond. Should WILLIAM G. BOYD predecease me, then in that event I hereby appoint MARIAM HOOD, as executrix of this my LAST WILL AND TESTAMENT to serve without bond. I hereby grant my executors all the powers set forth in North Carolina General Statutes Section 32-27, and these powers are incorporated herein by reference.

IN TESTIMONY WHEREOF, I have hereunto set my hand and affixed my seal to this my LAST WILL AND TESTAMENT consisting of three (3) pages, this the 28th day of March, 1991.

BEFORE ME, the undersigned authority, on this day personally appeared GRACE HOOD LATTIMORE, PAUL F. JONES, SHIRLEY H. JONES, and MARCIENE C. STONE, known to me to be the testatrix and witnesses respectively, whose names are signed to the attached or foregoing instrument, and all of these persons being by me first duly sworn. The testatrix declared to me and to the witnesses in my presence: That said instrument is her LAST WILL; that she had willingly signed or directed another to sign the same for her and executed it in the presence of said witnesses as her free and voluntary act for the purposes therein expressed; or that the testatrix signified that the instrument was her instrument by acknowledging to them her signature previously affixed thereto.

The said witnesses stated before me that the foregoing WILL was executed and acknowledged by the testatrix as her LAST WILL in the presence of said witnesses who, in her presence and at her request, subscribed their names thereto as attesting witness and the testatrix at the time of the execution of said WILL, was over the age of 18 years and of sound and disposing mind and memory.
